Red Hat, Inc. (Nasdaq: RHAT), leader mondiale nella fornitura di soluzioni software open source per l'enterprise, annuncia che il consiglio d'amministrazione ha autorizzato l'ampliamento del programma di riacquisto delle azioni ordinarie precedentemente annunciato. Secondo il nuovo programma, l'azienda e' autorizzata a riacquistare azioni per un totale di $250 milioni. In base al programma di riacquisto delle azioni ordinarie precedentemente annunciato, Red Hat ha gia' riacquistato circa $100 milioni dei $250 milioni attualmente autorizzati. L'azienda inoltre ha annunciato che il consiglio d'amministrazione ha autorizzato il riacquisto di $50 milioni delle obbligazioni convertibili con scadenza al 2024 di cui l'azienda detiene lo 0.5%. I programmi di riacquisto di azioni comuni e obbligazioni convertibili possono essere effettuati di tanto in tanto, sul mercato aperto o in transazioni private.

Inoltre, il programma di riacquisto aiutera' a ridurre la diluizione associata con i nostri piani di azioni per i dipendenti e le nostre obbligazioni convertibili", ha dichiarato Charles Peters, Chief Financial Officer ed Executive Vice President.
La tempistica e l'ammontare di azioni ordinarie e obbligazioni convertibili riacquistate sara' determinato dal management dell'azienda in base alla valutazione delle condizioni del mercato e altri fattori. Il riacquisto di azioni ordinarie puo' anche essere condotto in base al piano Rule 10b5-1, che permette il riacquisto di azioni ordinarie quando all'azienda potrebbe essere precluso questo diritto in base alle leggi di insider trading. Il programma di riacquisto puo' essere sospeso o interrotto in qualunque momento. Tutte le azioni ordinarie riacquistate saranno disponibili per i piani azionari e altri scopi aziendali. Tutte le obbligazioni convertibili saranno ritirate e cancellate.
Il programma di riacquisto sara' realizzato usando il capitale operativo. Al 28 febbraio 2005, l'azienda disponeva di contanti e investimenti in titoli obbligazionari per circa $929 milioni.
Al 28 febbraio 2005, Red Hat aveva circa 177 milioni di azioni ordinarie in circolazione.
